Terms of Service

Your budget is yours. her budget is a tool for helping you organise it. We do not connect to your bank, move your money, or tell you what to do with it. These Terms explain the legal details behind that relationship.

Who this is between

These Terms of Service are an agreement between you and Chimpanzee, LLC (“Chimpanzee,” “we,” “us,” or “our”), which operates her budget, including the website at her.to and the budgeting service available through it (together, the “Service”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not create an account or use the Service.

When we offer a paid subscription, we will separately show you the price, renewal terms, and other important billing information before you agree to be charged.

Who can use her budget

You must be at least 18 years old, or the age of legal majority where you live if that is higher, and legally able to enter into a binding agreement.

her budget is intended for individual consumers. If you use the Service on behalf of a business or another legal entity, you represent that you have authority to bind that entity to these Terms.

You may not use the Service if doing so would violate applicable sanctions, export-control laws, or other laws that prohibit us from providing the Service to you.

What her budget is

her budget is a budgeting and record-keeping tool. It lets you enter, organise, calculate, and review information about your money. Depending on the features you choose to use, information may come from:

  • figures and descriptions you enter yourself;
  • data you choose to import;
  • information extracted from a receipt you choose to scan; or
  • other information you deliberately provide to the Service.

her budget does not connect to your bank accounts or automatically read transactions from your financial institution unless we clearly introduce such a feature in the future and you expressly choose to use it.

her budget does not:

  • hold or transfer your money;
  • initiate payments;
  • pay bills;
  • provide banking services;
  • provide credit;
  • trade or invest money;
  • act as a broker, money transmitter, accountant, financial adviser, investment adviser, tax adviser, attorney, or fiduciary; or
  • make financial decisions for you.

Nothing in the Service is financial, investment, tax, accounting, or legal advice. No professional, advisory, fiduciary, attorney-client, accountant-client, or similar relationship is created by your use of her budget.

Your numbers are still your responsibility

her budget calculates and displays information based on the information available to it. We do not independently verify your transactions, balances, merchants, categories, goals, bills, or other financial information against your bank or financial institution. Receipt scanning may also make mistakes.

That means a figure shown in her budget can be wrong because information was entered incorrectly, omitted, duplicated, imported incorrectly, or extracted incorrectly. Your bank, credit-card, investment, loan, tax, and other official records remain the authoritative records of your finances. Before making a decision that depends on a number, check it against the appropriate original record.

We do not guarantee that using her budget will cause you to save money, avoid debt, meet a goal, improve your credit, or achieve any particular financial result.

Trying her budget without an account

We may let you explore her budget using a sample or demonstration budget without creating an account. Unless the Service specifically tells you otherwise, changes you make to a demonstration budget are not saved as your personal budget and may disappear when the page is refreshed or closed.

A small number of local settings or preferences may remain in your browser so the interface works as expected. Our Privacy Policy explains these in more detail.

Your account

You may sign in using a link sent to your email address or through another sign-in option we make available, such as Google. There may be no separate her budget password. That means access to your email account or connected sign-in account may provide access to your her budget account.

You are responsible for:

  • keeping your email and connected sign-in accounts secure;
  • using an email address you are authorised to use;
  • keeping your account information reasonably current;
  • not sharing access to your account with another person; and
  • telling us promptly if you believe someone has gained unauthorised access.

Contact legal@her.to if you believe your account has been compromised. You are responsible for activity occurring through your account unless applicable law provides otherwise.

Your budget belongs to you

As between you and us, you retain ownership of the information and content you enter into her budget, including your categories, transactions, balances, goals, notes, merchants, and other budget information (“Your Content”). We do not take ownership of Your Content.

To operate the Service, however, you give us a limited, non-exclusive, worldwide licence to host, copy, transmit, process, display, back up, and otherwise handle Your Content only as reasonably necessary to provide, secure, maintain, and support the Service, comply with law, and carry out the practices described in our Privacy Policy. That licence ends when the relevant content is deleted from our active systems, except to the extent temporary backup copies remain or we are legally required to retain particular information.

This licence does not give us permission to:

  • sell your budget;
  • sell your personal information;
  • advertise to you based on what is inside your budget;
  • build an advertising profile from your budget; or
  • use your budget or receipt content to train our own general-purpose AI models.

Our Privacy Policy explains how personal information is handled.

Exporting and deleting your data

You can export your budget in the format currently offered in Settings, including CSV where available. You can also delete your account from Settings. Deleting an account removes the account and associated budget information from our active production systems.

Deletion is intended to be permanent. Once active data has been deleted, support generally cannot recover it for you. However, deleted information may remain temporarily in routine encrypted or otherwise protected system backups until those backups expire under their normal retention schedules. Those backup copies are not used as active account data and are retained only for purposes such as system recovery, security, and legal compliance.

Export anything you want to keep before deleting your account. Cancelling or downgrading a paid subscription does not, by itself, delete your budget.

Our Service and intellectual property

Your budget belongs to you. her budget belongs to us. Chimpanzee and its licensors own the Service and the intellectual property associated with it, including its:

  • software and source code;
  • interface;
  • design;
  • graphics;
  • branding;
  • trademarks;
  • logos;
  • documentation;
  • copy;
  • databases and database structure; and
  • other materials that are not Your Content.

Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable right to use her budget for its intended purpose. Except where applicable law does not allow us to restrict it, you may not copy, reproduce, distribute, sell, licence, reverse engineer, circumvent, commercially exploit, or create a competing service from protected portions of her budget without permission. Nothing in these Terms transfers ownership of her budget or its intellectual property to you.

What you agree not to do

Please use her budget like a normal person using a budgeting tool. You may not:

  • access or attempt to access another person’s account or data without permission;
  • impersonate another person;
  • use credentials or accounts that are not yours;
  • probe, scan, attack, disrupt, overload, or interfere with the Service;
  • bypass access controls, rate limits, security systems, subscription limits, or usage limits;
  • introduce malware or harmful code;
  • use automated traffic, scraping, bots, or similar systems in a way that materially burdens the Service or is not authorised by us;
  • use the Service to store or transmit material that is unlawful;
  • use the Service to violate another person’s rights;
  • resell, sublicense, or commercially redistribute the Service without permission; or
  • present her budget as a product you created.

If you discover a possible security vulnerability, please report it privately to legal@her.to. Reporting a vulnerability does not by itself authorise you to access another person’s data, damage the Service, exceed your authorised access, or violate applicable law. If we publish a separate vulnerability disclosure or security research policy, testing covered by that policy will be governed by its terms.

Third-party services

her budget relies on specialised service providers to operate. For example, providers may help us with hosting, databases, authentication, email delivery, analytics, or receipt scanning. Some optional features may also require you to interact with a third party, such as choosing Google to sign in.

Those providers may have their own terms and privacy notices. We remain responsible for our own obligations to you, but we do not control independent third-party services and are not responsible for outages or conduct outside our reasonable control. Our Privacy Policy identifies the main providers that process personal information for us.

Free plans

At the date shown above, her budget may offer some or all features without charge. A free feature or free plan is not a promise that the feature will always remain free. We may introduce paid plans, change which features are included in a plan, introduce reasonable usage limits, or discontinue features. If a change materially affects an existing paid subscription, the additional protections described below apply.

We will never start charging an existing free account merely because the account exists. You must affirmatively agree to a paid offer before we charge you.

Paid subscriptions

If we offer paid plans, the important commercial terms will be shown clearly before purchase. Those terms may include:

  • the price;
  • applicable taxes;
  • billing frequency;
  • the length of the subscription;
  • whether it automatically renews;
  • what is included;
  • when charges begin;
  • any trial or introductory period;
  • how and when you can cancel; and
  • any other material conditions.

The information displayed at checkout forms part of your subscription agreement with us. By choosing a paid subscription and completing the purchase, you authorise the applicable recurring charges described at checkout. We will not rely on silence, inactivity, or a pre-checked box as your agreement to begin a paid subscription where the law requires affirmative consent.

Automatic renewal

Unless a paid offer clearly says otherwise, a recurring subscription will automatically renew for successive billing periods until you cancel it. Before you subscribe, we will clearly tell you:

  • that it renews automatically;
  • how much you will be charged;
  • how often you will be charged; and
  • how to cancel.

Where required by law, we will also send renewal, trial-ending, annual, price-change, or other subscription reminders.

Cancelling a subscription

We want leaving to be easy. When paid subscriptions are offered, you will be able to cancel using the online account or subscription controls we provide, or another straightforward cancellation method identified at checkout. If you subscribed online and applicable law requires online cancellation, online cancellation will remain available. We will not require you to call a salesperson, complete a retention interview, or explain why you are leaving merely to stop future recurring charges.

When you cancel:

  • future renewals stop;
  • you will not be charged for a new billing period after the cancellation becomes effective;
  • unless the law or the offer says otherwise, you may continue using paid features until the end of a period you already paid for; and
  • your budget is not deleted simply because you cancelled.

You may separately delete your account whenever the Service makes that option available.

Trials and promotional offers

If we offer a trial, introductory price, discount, or promotion, the specific terms will be shown before you accept it. If a trial automatically converts to a paid subscription, we will clearly disclose that before you enrol and obtain any consent required by law. Where applicable law requires notice before the end of a trial or promotional period, we will provide it.

Promotions may have eligibility restrictions and may be changed or withdrawn before you accept them. Once accepted, we will honour the terms applicable to that promotion unless the law permits otherwise.

Price changes

We may change the price of a paid plan. A price change will not retroactively increase the price of a billing period you have already paid for. Before a price increase applies to a future renewal, we will give you advance notice where required by law and tell you how to cancel. If applicable law requires your affirmative agreement before a new price may be charged, we will ask for that agreement. If you do not want to continue at the new price, you can cancel before it takes effect.

Taxes and payment providers

Prices may be subject to sales tax, VAT, GST, or similar taxes as required by law. Payments may be processed by a third-party payment processor or merchant of record identified at checkout. That provider may collect payment information and may have its own terms and privacy notice.

If a payment fails, expires, is reversed, or cannot be processed, we may ask you to update your payment method and may suspend paid features until payment is completed. We will not delete your budget merely because a payment fails.

Refunds and statutory cancellation rights

Except where required by law or expressly stated in a particular offer, payments for a billing period that has already begun are generally non-refundable. That sentence does not take away any refund, withdrawal, cancellation, cooling-off, digital-service, consumer-guarantee, or other right that the law where you live says cannot be waived.

European Economic Area

If you are a consumer in the European Economic Area, you may have a statutory right to withdraw from an online service contract within 14 days of entering it, subject to applicable exceptions and rules concerning services that begin during the withdrawal period. If you ask us to begin providing a paid service immediately and later exercise a statutory withdrawal right, applicable law may permit a proportionate charge for service already provided. Where the law requires separate express consent or acknowledgement concerning immediate performance or the loss of a withdrawal right, we will obtain it separately. Your statutory rights relating to defective or non-conforming digital services remain unaffected.

United Kingdom

UK consumers retain all mandatory rights under applicable UK consumer law, including rights concerning digital services and distance contracts. Where a statutory cooling-off or cancellation right applies, these Terms do not remove it. Any additional mandatory subscription rights that become applicable under UK law after these Terms take effect will apply automatically to the extent required.

Australia

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded, restricted, or modified.

Canada

Canadian consumers retain all non-waivable rights under applicable federal and provincial consumer-protection law. Additional province-specific requirements apply where required.

Changing the Service

her budget will change over time. We may add, remove, improve, redesign, replace, or discontinue features for reasons such as:

  • improving the product;
  • maintaining security;
  • complying with law;
  • responding to changes in technology or third-party services;
  • managing costs or abuse; or
  • deciding that a feature is no longer sustainable.

We do not promise that every feature will exist forever. For a free service, we may make changes without compensation. For a paid service, if we materially reduce the core functionality of the plan during a period you already paid for, we will provide any notice, cancellation right, refund, price adjustment, or other remedy required by applicable law.

Availability

We work to keep her budget available, but no online service is available all the time. The Service may be interrupted because of maintenance, bugs, infrastructure failure, security incidents, internet outages, third-party failures, emergencies, or events outside our reasonable control. We do not guarantee uninterrupted or error-free operation.

If we decide to discontinue her budget entirely, we will make reasonable efforts to give account holders advance notice and a reasonable opportunity to export their data, unless doing so is impossible, unlawful, or would create a security risk.

Suspending or ending an account

You may stop using her budget at any time. You may cancel a paid subscription without deleting your account, or delete your account separately.

We may restrict, suspend, or terminate an account if we reasonably believe:

  • these Terms have been materially violated;
  • the account is being used unlawfully;
  • the account threatens the security or availability of the Service or another user;
  • payment for a paid service remains due;
  • suspension is required by law or legal process; or
  • continuing to provide the account would expose us or another person to material risk.

Where reasonably possible, we will tell you what happened and give you an opportunity to correct the problem. Where reasonably possible and legally permitted, we will also give you an opportunity to export your budget before permanent account termination. We may act without advance notice when necessary to protect the Service, another person, or comply with law.

Sections that by their nature should continue after termination, including ownership, disclaimers, liability limitations, dispute provisions, and general legal terms, continue after termination.

Privacy

Our Privacy Policy explains what personal information we collect, why we collect it, the companies that process it for us, how long we keep it, and the rights available to you. The Privacy Policy is a privacy notice, not a waiver of your privacy rights.

We will not use a change to these Terms to silently expand how we use your personal information. Material changes to privacy practices will be handled as described in the Privacy Policy and applicable law.

Feedback

If you voluntarily send us ideas, suggestions, or feedback about her budget, you give us permission to use that feedback to improve or develop the Service without paying you. This does not give us ownership of your budget or other personal content.

No warranties we cannot realistically make

To the maximum extent permitted by applicable law, her budget is provided “as is” and “as available.” We do not make promises that the law permits us to disclaim regarding:

  • uninterrupted availability;
  • error-free operation;
  • the accuracy or completeness of calculations based on incomplete or inaccurate information;
  • compatibility with every browser or device;
  • the continued availability of a particular feature; or
  • a particular financial result from using the Service.

To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. But consumer laws matter. Nothing in these Terms excludes a warranty, guarantee, condition, remedy, or other consumer right that applicable law says cannot be excluded.

Financial decisions

You remain responsible for your own financial decisions. To the maximum extent permitted by law, we are not responsible for losses arising merely because you:

  • relied on an incorrect or incomplete budget entry;
  • forgot to enter a transaction;
  • categorised something incorrectly;
  • relied on an inaccurate receipt extraction;
  • treated her budget as a bank statement;
  • missed a bill, payment, tax deadline, savings target, or other financial obligation; or
  • made a financial, tax, legal, borrowing, spending, saving, or investment decision based on information in the Service.

This does not excuse us from liability that applicable law says we cannot exclude.

Limitation of liability

Nothing in these Terms limits or excludes liability where doing so would be unlawful, including liability that cannot legally be limited for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where applicable, or other non-waivable liability.

Subject to that rule, and to the maximum extent permitted by law, Chimpanzee will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunity, or similar economic losses arising from the Service.

To the maximum extent permitted by law, Chimpanzee’s total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of:

  1. the amount you paid to us for the Service during the 12 months immediately before the event giving rise to the claim; or
  2. US $100.

Some jurisdictions do not permit particular warranty exclusions or limitations of liability. Where that is true, the relevant exclusion or limitation applies only to the maximum extent permitted there. Your mandatory statutory consumer rights remain unaffected.

Events outside our reasonable control

We are not responsible for delay or failure caused by events reasonably outside our control, such as widespread internet or cloud-service failures, natural disasters, government action, war, civil unrest, labour disputes, cyberattacks despite reasonable safeguards, power failures, or other force-majeure events. This does not affect rights that cannot legally be excluded.

Changes to these Terms

We may update these Terms when the Service, our business, or the law changes. The date at the top tells you when the Terms were last updated. For a material change that affects existing account holders, we will provide reasonable advance notice, normally by email, in-product notice, or both. If applicable law requires affirmative consent to a particular change, we will ask for it.

Changes will not retroactively take away rights relating to a dispute that arose before the new Terms became effective. If you do not agree to updated Terms, you may stop using the Service, cancel any subscription, and delete your account.

Electronic communications

You agree that we may provide account, legal, security, billing, subscription, and service notices electronically, including by email or through the Service, where permitted by law. Keep access to the email address connected to your account. Electronic notices satisfy written-notice requirements to the extent permitted by law.

Governing law and courts

Except where mandatory consumer law provides otherwise, these Terms and disputes arising from them are governed by the laws of the State of Oklahoma, United States, without regard to conflict-of-law principles. Subject to any non-waivable rights you have to bring a claim elsewhere, you and Chimpanzee agree that disputes may be brought in the state or federal courts with appropriate jurisdiction in Oklahoma.

Consumer protections come first where the law requires it

If you are a consumer and the law where you ordinarily live gives you mandatory protections that cannot be waived by choosing Oklahoma law, you keep those protections. If applicable consumer law gives you the right to bring proceedings in your home jurisdiction, these Terms do not take that right away. Nothing in this section prevents either party from bringing an eligible claim in small-claims court.

International use

her budget is operated from the United States. If you access it from another country, you are responsible for complying with laws that apply to you, and we remain responsible for laws that apply to us as a provider. We may restrict the Service in a country or territory when reasonably necessary to comply with sanctions, export controls, local law, provider restrictions, or other legal requirements. The fact that the Service can technically be reached from a country does not mean every feature or paid offer is necessarily available there.

General legal terms

These Terms, together with the specific terms presented for a paid plan or promotion you accept, form the agreement governing your use of her budget. If a provision of these Terms is found unenforceable, the remaining provisions continue to apply, and the affected provision will be enforced to the maximum lawful extent. If we do not enforce a provision on one occasion, that does not waive our right to enforce it later. Headings are for readability and do not change the meaning of the Terms.

You may not transfer your account or these Terms to another person without our consent. We may transfer these Terms as part of a merger, acquisition, corporate reorganisation, financing, or sale of the Service or substantially all related assets, provided the successor assumes the obligations that apply to your Service. We will provide notice where required by law. Nothing in these Terms creates a partnership, employment, agency, or joint venture between you and Chimpanzee.
